FPX, INC. – TERMS OF USE

1. Agreement to These Terms

These Terms of Use ("Terms") form a binding contract between you and FPX, Inc. ("FPX," "we," "our," or "us") and govern your access to and use of fp8.io, its sub-domains, and any content, functionality, or services offered thereon (collectively, the "Website"). By accessing or using the Website you confirm (a) that you are at least 18 years old, a U.S. resident, and legally competent to enter into this contract, and (b) that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference).

If you do not or cannot agree, do not access or use the Website.

2. Changes to the Terms

We may modify these Terms at any time. If the changes are material we will provide at least 30 days' advance notice by email (if you have an account) or by posting a banner on the Website. Your continued use after the effective date constitutes acceptance of the revised Terms. If you reject the changes, your sole remedy is to close your account and stop using the Website.

3. Eligibility, Geographic Restrictions & Compliance

Age / Residency. The Website is offered only to natural persons ≥ 18 years old who reside in the United States.

Sanctions & Embargoes. You may not access or use the Website if you are (i) located, organized, or resident in a country or territory that is embargoed by the United States, (ii) listed on any U.S. sanctions list (e.g., OFAC's SDN List), or (iii) otherwise prohibited by applicable export-control or sanctions laws.

Regulatory Use Restrictions. Certain Website features may be subject to additional Know-Your-Customer ("KYC"), Anti-Money-Laundering ("AML"), or U.S. Bureau of Industry & Security ("BIS") export-license requirements—particularly those involving compute hardware subject to the "Advanced Computing" rule. We may refuse, suspend, or terminate service to you if you fail to satisfy such requirements.

4. Account Registration & Security

To access subscription areas you must create an account:

• Provide accurate, current, and complete information and keep it updated.
• Maintain the confidentiality of your credentials; you are solely responsible for all activity under your account.
• Notify us immediately at info@fp8.io of any unauthorized use or security breach.

We may suspend or terminate your account for any breach of these Terms, suspected fraud, regulatory request, or to protect the Website or other users.

5. Intellectual Property & License

All text, graphics, research reports, data, software, trademarks, and other materials on the Website (collectively, "Content") are owned by or licensed to FPX and protected by U.S. and international intellectual-property laws.

Limited License. Subject to these Terms, FPX grants you a personal, revocable, non-exclusive, non-transferable license to access and use the Website and download Content solely for your non-commercial, informational use. You must:

• Retain all proprietary notices;
• Cite FPX as the source in any permissible excerpt or visual;
• Not copy, modify, reverse-engineer, distribute, sell, or create derivative works from the Website or Content except as expressly allowed.

All rights not expressly granted are reserved.

6. Permitted & Prohibited Uses

You agree not to:

• Use the Website for any unlawful, fraudulent, or commercial purpose not expressly authorized by FPX;
• Upload, transmit, or otherwise make available any viruses or malicious code;
• Attempt to gain unauthorized access to any portion of the Website or its systems;
• Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our prior written consent;
• Infringe any intellectual-property or other proprietary right;
• Impersonate any person or misrepresent your affiliation.

7. Research Materials & No-Advice Disclaimer

FPX may publish research, commentary, or analysis ("Research Materials") for general informational purposes only. FPX is not a broker-dealer, investment adviser, commodity trading advisor, or law firm. Nothing on the Website constitutes:

• Legal, tax, accounting, financial, or investment advice;
• A recommendation or solicitation to buy, sell, or hold any security, commodity, or other asset;
• A guarantee of future performance.

You are solely responsible for any decisions you make based on Research Materials and should seek professional advice where appropriate.

8. User Submissions & Communications License

If you send FPX questions, feedback, suggestions, or other content ("Submissions"):

• You grant FPX a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, display, modify, and distribute your Submissions in any medium.
• You represent that you have the right to grant this license and that your Submissions do not violate any third-party rights or laws.
• Submissions are non-confidential; do not send proprietary or sensitive information.

9. Third-Party Links

The Website may link to external sites or social-media features not controlled by FPX. We are not responsible for the content, security, or practices of those third parties. Access them at your own risk.

10. U.S. Export-Control Compliance

Software, technology, or hardware referenced on or obtainable via the Website may be subject to U.S. export-control laws, including the Export Administration Regulations ("EAR") and sanctions regimes administered by OFAC. You agree not to export, re-export, or transfer such items (or underlying technology) in violation of applicable law, including but not limited to the EAR "Advanced Computing" and "Supercomputer" rules governing high-performance GPUs.

12. Accessibility Commitment

13. Force Majeure

FPX is not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, Internet outages, or governmental action.

14. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." FPX AND ITS LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FPX does not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FPX (AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FPX's aggregate liability arising out of or relating to the Website or these Terms shall not exceed the total fees, if any, that you paid to FPX in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations; in such cases, the above limitations apply to the fullest extent permitted.

16. Indemnification

Unless prohibited by law, you agree to indemnify, defend, and hold harmless FPX and its officers, directors, employees, agents, and affiliates from and against all third-party claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Website;
• Your breach of these Terms or applicable law;
• Your Submissions or any misuse of Content.

17. Dispute Resolution – Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY; IT AFFECTS YOUR RIGHTS.

Binding Arbitration. Any controversy or claim arising out of or relating to these Terms or the Website shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Venue & Governing Law. The arbitration shall be held in New York, New York, and governed by the Federal Arbitration Act and the laws of the State of New York, without regard to its conflict-of-laws principles.

Class-Action Waiver. You and FPX agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by sending a written notice to legal@fp8.io with subject line "Arbitration Opt-Out."

18. Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any violation of these Terms, suspected fraud, regulatory request, or threat to the integrity or security of the Website or its users. Sections 5–18 survive any termination.

19. Entire Agreement; Severability; Waiver

These Terms, together with the Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and FPX regarding the Website. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force. FPX's failure to enforce any right or provision is not a waiver of such right or provision.
